1. License & Restrictions

Surplus Systems provides a

licensed

CRM and communication platform. Users

may not

:

Share, resell, or provide access to third parties.Reverse-engineer, decompile, or tamper with the Software.Use the platform for spam, fraud, or illegal activities.

Failure to comply may result in

immediate account termination

.

2. Payments, Subscriptions & Refunds

Payments: All fees must be paid on time to avoid account suspension.Auto-Renewal: Subscriptions automatically renew unless canceled at least 21 days in advance.Refunds: Payments are non-refundable. Chargebacks may result in legal action.

3. Data Ownership & Privacy

Users retain ownership of their data.Surplus Systems does not sell or resell user data.Users must comply with all applicable privacy laws (GDPR, CCPA, HIPAA, if applicable).

4. Compliance with Do Not Call (DNC) and Marketing Laws

Users

must comply

with:

Telephone Consumer Protection Act (TCPA)National Do Not Call (DNC) RegistryCAN-SPAM Act & SMS regulations

User Responsibilities

All contacts must be DNC-screened before outreach.Explicit written consent is required for automated calls & texts.All messages must include an opt-out link or STOP option.

Users

assume full legal responsibility

for compliance. Surplus Systems is

not liable

for regulatory violations.

5. Messaging Restrictions & Penalties

Surplus Systems operates on

third-party carriers

(e.g., Twilio, T-Mobile, AT&T). Users

must comply

with:

A2P 10DLC regulationsCarrier filtering policiesSpam prevention laws

Prohibited Content:

Unsolicited messages or spamDeceptive or misleading offersSHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco)

Violations may result in

carrier fines up to $2,000 per violation

and

account termination

.

6. Limitation of Liability

Surplus Systems

is not liable

for:

Undelivered messages, technical issues, or revenue loss.Regulatory fines due to user violations.Data breaches caused by user negligence.

Users

waive all rights

to hold Surplus Systems responsible for

any indirect or consequential damages

.

7. Termination Policy

Surplus Systems may

suspend or terminate accounts

for:

Excessive spam complaints or DNC violationsFraudulent or deceptive marketing practicesRepeated violations of carrier rules

Users will receive

one warning

unless the violation is severe.

8. Policy Updates & Modifications

Surplus Systems

reserves the right

to update:

Pricing and subscription feesPlatform features and servicesCompliance and legal policies

Continued use of the platform

constitutes acceptance

of updated terms.

9. Dispute Resolution & Governing Law

This Agreement is governed by Minnesota law.Disputes will be resolved through binding arbitration under the Federal Arbitration Act.Users waive their right to a jury trial.
